These terms and conditions (hereinafter referred to as the “Terms” or “Terms and Conditions”) govern your use or visit to the Zid platform and your access to various products, features, and tools that assist merchants in creating and managing their online businesses (collectively referred to hereinafter as the (“Service,” “Our Services,” or “Services,” as the context requires). These Services are owned by AlQudrah AlTaqniyah for Technology and Communication Company LLC, CR number (1010365366) (hereinafter referred to as “we,” “us,” or “Zid,” as the context requires), which manages and operates the Services.
Please read these Terms carefully as they contain important information about your rights, processing, and obligations.
These Terms govern your use of or visit to the Service and are conditioned upon your acceptance and compliance with them. These Terms apply to all visitors and users who visit or use the Service (collectively referred to hereinafter as “you,” “Merchant,” “Merchants,” “User,” “Users,” as the context requires).
By accessing or using the Services, you confirm your agreement, with full legal capacity, to be bound by these Terms, our Privacy Policy, which is incorporated into and made a part of these Terms, which you can view at any time here, and our other applicable policies. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede prior agreements or arrangements with you -if any-. We may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason.
Accounts
You may need to create an account to use some of our Services. You must provide us with accurate, complete, and up-to-date information at all times. Failure to comply with this constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You acknowledge that you have the legal capacity, and that you are at least eighteen (18) years old or have reached the legal age according to the relevant laws and regulations of the country from which you use the Service.
If you are registering as an establishment, company, or any other legal entity, such establishment or company or other legal entity must have the necessary legitimate capacity to conduct commercial activities through the Zid platform.
You must register on Zid to use and benefit from the Service by: (1) writing your name as it appears in your official documents; (2) your current address; (3) a valid mobile number and email address; and (4) any information required in the registration form. The registered email address is considered the primary means of communication and notification.
Zid reserves the right to refuse any account creation request—as well as the right—to cancel any account for a justified reason in accordance with the granted authorities.
You are responsible for safeguarding your account, so you should use a strong password and only use it to this account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above.
You may not use as a username, display name or upload Content of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any third party’s rights or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
You agree that if you violate the legal eligibility provisions mentioned above, you bear the consequences of this violation before consumers, users, or others, as Zid has no relation legally to the Merchant’s dealings with the consumer or others. Moreover, Zid has the right in this case to hold the Merchant accountable under the provisions of contractual liability and to demand compensation for damages that may arise as a result of this violation, including damages that may affect Zid’s reputation among other merchants, consumers, users, or others.
Payments and Purchases
You understand that using the Services may result in purchases you make for the Services or goods you receive (“Purchase”). When making a Purchase, you may be asked to provide relevant information for your Purchase, including but not limited to your credit card number, its expiration date, your name, phone number, billing address, and shipping information.
You confirm and warrant the following: (1) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and (2) the information you provide to us is correct and complete.
By providing such information, or any other relevant information we deem necessary for the Purchase, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases.
We provide payment processing services through a third-party payment processor. When completing a Purchase through the Service, you agree to be bound by the terms and conditions of the external payment processors, which may be amended from time to time. As a condition of enabling us to provide payment processing services through any of these third parties, you authorize us to perform all activities necessary to facilitate these payments. We reserve the right to switch payment processing providers or use alternative or backup vendors at our discretion.
We reserve the right to terminate any Service and refuse or cancel your Purchase in case of suspected fraud, unauthorized transaction, or illegal activity, and the decision made in this regard is at our sole discretion.
Subscriptions
We have the right to charge subscription fees for using our products or services and any other fees that may arise as a result of your use of the Service, such as taxes and potential transaction fees, to the payment method you have chosen and provided to us (“Payment Method”) on the agreed billing date. The duration of the billing cycle will depend on the type of subscription you choose.
The Merchant pays the amount of the fees imposed on their subscription to the Service (“Subscription Fees”) and any other required fees, including but not limited to fees related to executing transactions in your account (“Transaction Fees”) and fees related to purchasing any products or services such as equipment, shipping, apps, themes, domain names, or third-party services (“Additional Fees”). (Subscription Fees, Transaction Fees, and Additional Fees are collectively referred to as “Fees”). All fees are in the Saudi riyal merchant’s local currency, and all payments must be made in the local currency.
We offer our Services through subscriptions (monthly – annual) according to the following plans, and the benefits and prices of each plan are clarified when you register for the Service:
- Lite plan
- Growth plan
- Professional plan
To subscribe to our plans and use our Services, you must provide one or more Payment Methods. You authorize us to collect the Fees via any Payment Method linked to your account if the primary Payment Method is declined or is no longer available to us for paying the Fees. You remain solely responsible for any amounts not collected.
If the payment is not successfully received due to card expiration, insufficient funds, or otherwise, and you have not canceled your account or subscription service before incurring the Fees, we may suspend your use of the Service until we can successfully recover the payment. For some Payment Methods, the issuer may impose certain fees, such as foreign transaction fees or other fees related to processing your Payment Method. Local tax rates may vary depending on the Payment Method used. You are responsible for paying all applicable taxes, including Value Added Tax (VAT).
You can cancel your subscription at any time, and your ability to use the Service will continue until the end of your subscription period. To the extent permitted by applicable law, payments are non-refundable, and we do not provide refunds or credits for any partial subscription periods, nor can you use the Service fees for any other service.
We may change subscription plans, Fees, and Services we offer from time to time; however, we will notify you of any changes in prices of the Fees or changes in subscription plans or Services at least seven (7) days before applying them.
Subscription Fees are paid in advance, and the invoice is issued within thirty (30) days, and the Service is provided once the receipt of the fees is confirmed (all these dates are classified as the “Invoice Date”). Transaction Fees and Additional Fees will be calculated from time to time at Zid’s discretion and will be charged to the User on each Invoice Date for all due Fees that have not been paid before. The Fees are written on the invoice that will be sent to the Merchant as the account holder via the email provided in the registration file. An invoice will appear on the account subscription page on the Zid platform /application. Users have fourteen (14) days to bring up and settle any issues related to Subscription Fees invoices.
The invoice is originally provided in Arabic and can also be provided in both Arabic and English together, provided that the invoice includes the issuance date, our official information and data, and the type of Service, its description, price, and quantity.
All fees do not include governmental, regional, local, or other national sales taxes, goods and services charges, or other fees that may exist in the future.
Annual and monthly subscriptions paid via bank transfers will be activated once we confirm receipt of the transfer within a period of two (2) working days.
Account Activation
To use and benefit from your account on the Zid platform, we provide account activation services based on your request. The services are as follows:
Cash on Delivery Service
When you subscribe to the Service and upon your request, we will activate the Cash on Delivery (“COD”) service using your provided information. You acknowledge full responsibility for the Cash on Delivery services as the account holder. If you wish to cancel this service, you must do so yourself, as it is a service provided by a third party.
The Merchant agrees to the terms and conditions of the third party when using the COD service as specified during the activation of the service in the app/website. If the terms and conditions are modified or changed, a new version will be published on the app/website. The amendments become effective from the date of publication, and using the service after the publication of the new terms constitutes acceptance of the changes. The User must deactivate the service if they disagree with any changes made to the COD service terms and conditions and may no longer continue using the COD service on their store.
Bank Transfer Service
When you subscribe to the Service and upon your request, we will activate the Bank Transfer service using your provided information. You acknowledge full responsibility for managing the Bank Transfer services as the account holder, and you must maintain accurate bank account information for your store.
The Merchant is responsible for activating, canceling, or monitoring the service. Zid is not responsible for any loss or damage resulting from the Merchant’s failure to maintain or manage the bank transfer payments and data.
The Merchant acknowledges agreeing to the bank’s terms and conditions once the Bank Transfer service is used in their store. Zid is not responsible for any violation of the bank’s terms and conditions. If the account holder does not agree with the bank’s terms and conditions, they should deactivate the Bank Transfer services and discontinue their use in the store.
Domain Names (Store Link)
Zid allows the Merchant to use subdomains under the “zid.store” address for their store, which they can use and share with consumers.
Zid also offers the Merchant the service of linking between the primary and subdomains when a domain name (link) is purchased through third-party services as long as the Zid account remains active. The Merchant is responsible for purchasing, activating, and deactivating the domain (link) at their discretion. Zid is not responsible for any loss or damage resulting from the account holder’s failure to maintain and manage their domain (link) from third-party services.
E-Commerce Store Regulations
All stores and Merchants must comply with all applicable laws regulating for E- Commerce, as well as the applicable laws on cybercrime, the regulations of the Ministry of Commerce and Investment, the Electronic Transactions Law, and the E-Commerce Law.
All stores and Merchants must disclose the following information on their online store: name and address, CR number, tax number or freelance work document, and official contact details.
All stores and Merchants must clearly outline the terms and conditions for consumers, explain the procedures for receiving and processing consumer complaints, provide refund and return policies (if any), clarify refund methods (if applicable), and offer privacy policies to protect consumer data.
All stores and Merchants must provide consumers with an invoice that details the cost of purchasing the service or product, including its description, total price, and delivery date and location.
All stores and Merchants offering products or services that require licensing from official authorities must disclose the license and all related details.
In the event of non-compliance with any of the above, Zid reserves the right to take any of the following actions, including but not limited to: issuing a warning, suspending the Service and closing the store, or restricting the Merchant’s access to and use of Services as deemed appropriate. Zid is not legally responsible for such breaches committed by the Merchant in relation to consumers, as Zid is not a party to the relationship between the consumer and the Merchant. Zid acts in this manner to improve the quality of the Merchant and consumer experience with Zid.
Errors and Inaccuracies
There may be information on the Service that contains errors, inaccuracies, or omissions regarding product descriptions, prices, promotions, offers, shipping fees, delivery times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Service or the platform is inaccurate at any time without prior notice.
Promotional Offers
Any discounts or promotional offers (collectively referred to as “Promotional Offers” or “Offers”) available on any of the Services may be subject to separate terms and provisions from these Terms and they are temporary by nature, including terms such as, but not limited to, (termination, return conditions, and the duration of the Offers). If you participate in any Promotional Offers, please review the applicable terms as well as our Privacy Policy at the provided link. If the Offer terms conflict with these Terms, the Offer terms will apply until the Offer’s expiration. We may collaborate with third parties to provide Offers, and in such cases, we are not responsible for the products and services provided by these third parties.
In all cases, Promotional Offers are announced only after obtaining the necessary licenses and permits in accordance with the applicable laws and regulations. The terms and prices must be clear and defined before and during the implementation of the Promotional Offers for the trader to benefit from and use them.
Content
Our Service allows you to post information, data, text, graphics, images, audio, videos, or other materials that you upload to your account on Zid (“Content” or “Contents”) and link, store, share, and make them available. You are responsible for the Content you post on the Service, including its legality, reliability, and appropriateness. You acknowledge and agree that we may participate in the creation or development of the Content, and we are not liable for the Content or any claims arising from it, including those related to intellectual property infringements by third parties. Furthermore, you acknowledge and agree that we are not obligated to monitor, review, or remove Content, but we reserve the right to restrict or remove Content From the Services at our discretion.
You are responsible for your use of the Services and any Content you provide, including compliance with applicable laws, rules, and regulations.
By this, you grant us a non-exclusive, irrevocable, royalty-free, sublicensable right to exercise all copyrights, publicity rights, and any other rights you have in your Content, in any medium currently known or unknown, in order to perform, improve, or market the Service.
You retain all your rights to the Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights. You agree that this license includes our right to make your Content available to other Users of the Service, who may also use your Content subject to these Terms.
Any use of or reliance on any Content or materials posted through the Services or obtained from them is at your own risk. We do not endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted through the Service, nor do we endorse any opinions expressed through the Service.
You acknowledge and warrant to us that your Content: (a) will not be false, inaccurate, incomplete, or misleading; (b) will not contain fraudulent materials or involve the sale of counterfeit or stolen goods; (c) will not infringe on copyrights, patents, trademarks, trade secrets, or other proprietary rights, or the advertising, personal, or privacy rights of any third party; (d) will not violate any law, regulation, or statute (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, false advertising, anti-spam, or privacy laws); (e) will not be defamatory, unlawfully threatening, or unlawfully harassing; (f) will not be obscene or contain pornography (including, but not limited to, child pornography) or be harmful to minors; (g) will not contain any viruses, worms, malware, or other programming procedures designed to damage, disrupt, or seize control of any system, data, or personal information; and (h) will not falsely represent that you are employed by, work directly for, or are affiliated with us, nor claim to act as our representative or agent.
The Merchant acknowledges and understands that their Content (excluding payment information) may be transmitted unencrypted and may include (a) transmission over various networks, and (b) changes to conform and adapt to the technical requirements of connecting networks or devices. Payment information will always be encrypted during transmission across networks.
We reserve the right to remove Content that violates these Terms, including, but not limited to, violations of copyright, trademarks, or other intellectual property theft, impersonation, illegal behavior, harassment, or breaches of any of the provisions outlined above.
Automatic Renewal
Your selected subscription package will be automatically renewed using the Payment Method you previously specified in your account or one of the other approved Payment Methods once your current subscription period ends.
If the payment is not successfully processed due to a payment error, insufficient card balance, or other Payment Methods not working, the subscription will not be automatically renewed.
You can cancel the automatic renewal at any time by going to the Subscription Management page > select “Stop Automatic Renewal” > a confirmation message will appear to confirm that the automatic renewal has been canceled.
You are solely responsible for canceling the automatic renewal of the subscription at least three (3) days before the end of your subscription period. You can only stop the automatic renewal after this period if the payment is not successfully processed during the renewal. Zid will not be responsible for automatically charging Fees and renewing the subscription if you do not cancel the automatic renewal within the specified time.
Account Termination
We may suspend or terminate your account or stop providing all or part of the Services to you at any time, with or without reason. This includes but is not limited to situations where we reasonably believe: (a) you are creating a potential legal risk or exposure for us; (b) your account should be removed due to illegal activity; (c) your account should be removed due to prolonged inactivity; (d) you are attempting to send spam or engage in phishing; (e) you are trying to encourage others to engage in illegal activities; (f) you are harassing, abusing, insulting, harming, defaming, slandering, intimidating, or discriminating based on gender, religion, race, age, national origin, or disability; (g) you have provided false or misleading information; (h) you have attempted to upload or transmit viruses or any other type of malicious code that could affect the functionality or operation of the Service, any related website, or the internet; (i) you are attempting to collect or track the personal information of others; (j) you are attempting to interfere with or bypass the security features of the service, any related website, or the internet; (k) you are violating any of the prohibited uses; (l) providing Services to you is no longer commercially possible; or (m) you have attempted or violated our intellectual property rights or the intellectual property rights of others.
You may cancel your account at any time by contacting the support team, merchant success team, or via email at [email protected] and following the instructions specified in the email from Zid. You do not have the right to a refund, subject to the provisions of the return policies and unless otherwise stated in the Terms and Conditions.
Upon termination of the account, your right to use the Service will end immediately, and any outstanding amounts owed to Zid as a result of your use of the Services up until the termination date will become due and payable in full immediately.
Intellectual Property
The Service and all texts, graphics, editorial content, data, formats, graphics, look and feel, images, music, sounds, photos, software, videos, designs, trademarks, logos, fonts, and other original content (excluding the Merchant’s Content, which is subject to the Content section mentioned above), as well as features and functions within the Service, along with their selection, arrangement, and optimization (“the Materials”), are exclusively owned by us and shall remain so.
The Materials and the Service are protected by copyright, trademark, and other laws in Saudi Arabia and the Gulf Cooperation Council (GCC) countries. Our Materials may not be used in connection with any product or service without our prior written consent.
Users are prohibited from copying, downloading, using, redesigning, reconfiguring, or retransmitting any part of the Materials without our explicit prior written consent and, where applicable, the content owner’s consent. Any use of these Materials beyond what is permitted, without our prior permission and, if applicable, the permission of the content owner, is expressly prohibited
Confidentiality of Information
You acknowledge and agree that Zid may use the information you provide for the purpose of delivering services to you and sending you marketing messages. Zid’s Privacy Policy governs the collection, processing, use, and transfer of your personal identity information. The confidentiality rules are subject to our Privacy Policy, which can be accessed via the following link.
Third Parties
We may provide you with access to or the ability to visit, use, or interact with products, services, tools, or links belonging to third parties (collectively referred to as “Tool” or “Tools”). These tools are not managed or controlled by us.
You acknowledge and agree that these Tools are provided on an “as-is” and “as-available” basis, without any warranties, representations, or conditions of any kind and without any approval. We bear no responsibility of any kind arising from or related to your use of third-party Tools.
The use of any Tools owned or managed by third parties is subject to the terms and conditions of use and privacy policies of those Tools. You visit or use these Tools at your own risk. We disclaim any liability related to your use of or interaction with any linked Tools that may appear on the Services. By agreeing to these Terms and Conditions, you agree to hold us harmless from any liability that may arise from your use of the Tools that may appear on the Service.
Limitation of Liability
We do not guarantee that your use of the Service will be uninterrupted, secure, or error-free, nor that the results obtained from using the Service will be accurate or reliable.
You agree that, from time to time, we may remove the Service for indefinite periods or cancel the Service at any time, without prior notice to you.
You agree that your use of the Service, or inability to use it, is at your own risk. The Service and all products and services delivered to you through the Service (unless otherwise stated by us) are provided “as-is” and “as-available” for your use, without any representations, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, marketable quality, fitness for a particular purpose, durability, and type. We assume no liability in connection with contract, warranty, or tort for any (i) errors or inaccuracies in the content, (ii) personal injury or property damage, of any kind, arising from your access to or use of the Service, (iii) any unauthorized access to or use of our secure servers and/or any and all personal and/or financial information stored therein, and (iv) events beyond our reasonable control and force majeure.
Under no circumstances shall our officers, directors, employees, or affiliates be liable for any injury, loss, claim, direct or indirect damages, consequential damages of any kind, including but not limited to lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether in contract, tort (including negligence), arising from your use of any of the services or any products procured using the Service, or any other claim related to your use of the Service or any product, including but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) transmitted, or otherwise made available via the service, even if advised of their possibility.
Additionally, these Terms are solely for the benefit of the parties to these Terms and Conditions and are not intended to confer any benefit, compensation, claim, liability, or any other rights (including, but not limited to, any third-party beneficiary rights) on any person or entity other than you concerning any agreement or provision herein.
Indemnification
You agree, under these Terms and Conditions, to indemnify, defend, and hold us, our affiliates, employees, directors, and independent contractors (“Protected Parties”) harmless from and against any and all claims, damages, expenses, losses, liabilities, government penalties, lawsuits, and/or disputes of any kind, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, direct or indirect, incidental, actual, consequential, including attorneys’ fees and costs incurred in connection with; (1) your use or inability to use the Services, (2) your breach or violation of these Terms, (3) your violation of any law or rights of any user or third party, and (4) any Content you provide or through your account’s use of the Services, including, but not limited to, any illegal infringement of third-party rights by that Content.
Refunds and Exchanges
The Merchant may submit a refund request within fourteen (14) days, without prejudice to the specific refund period stated below, by contacting the customer service team (via email or customer service account). However, any Merchant who has fulfilled more than fifty (50) orders will not be eligible for a refund request.
The Merchant is entitled to request a refund if the delivery or execution of the Service is delayed by more than fifteen (15) days from the agreed delivery or execution date, unless the delay is due to reasons beyond Zid’s control or force majeure events.
The customer service team will process the refund request within three to five (3-5) days. If the Merchant is not eligible for a refund, the customer service team will reject the request with an explanation. If the Merchant is entitled to a refund, the refund will be processed on either the (15th or 30th) of the calendar month, whichever is sooner.
If the Merchant qualifies for a refund, the due amounts will be transferred via the original Payment Method used. If the payment was made via bank transfer, the refund will be sent to the registered bank account. If the payment was made through Zid wallet, the refund will be transferred to the wallet. For payments made via electronic payment methods, the refund will be processed to the bank card directly. Exceptional cases for altering the refund method are subject to Zid’s discretion.
Without prejudice to the above, the Merchant is required to comply with the specific refund conditions, as well as the exceptional and separate refund terms for Services and products outlined in the “Services and Products” section below.
Refund Terms in Special Cases:
Refunds During Promotional Periods
The refund period for subscriptions purchased during promotional offers is limited to twenty-four (24) hours only.
Annual Subscription Refunds
The Merchant has the right to request a full refund within ten (10) days from the subscription date, provided that no other Services have been used, such as domain purchase or other services. Bank transfer fees of 9 SAR for transfers within Saudi Arabia and 50 SAR for Gulf countries’ transfers, or any other fees like payment gateway charges, will be deducted.
The Merchant may request a partial refund until the fourteenth (14th) day from the subscription date, where the Fees for one month’s subscription and any other Services used will be deducted. Additionally, bank transfer fees (9 SAR for internal transfers and 50 SAR for Gulf countries’ transfers) or other fees such as payment gateway charges will be deducted.
Monthly Subscription Refunds
The grace period for submitting a refund request is three (3) days from the subscription date, provided no other Services, such as domain purchase, have been used. The Fees for any other Services used and bank transfer fees (9 SAR for internal transfers and 50 SAR for Gulf countries’ transfers) or other fees like payment gateway charges will be deducted.
Refund Policy for Plan Changes
In case of upgrading to a higher plan and requesting a refund, the Merchant is entitled to a refund for the price difference between the plans, provided the request is made within the refund grace period for the relevant plan. Any previous balance that exceeds the grace period of the previous plan is non-refundable. Bank transfer fees of 9 SAR for transfers within Saudi Arabia and 50 SAR for Gulf countries’ transfers, or other fees such as payment gateway charges, will be deducted.
Refunds for Advertising and SMS Campaigns
The refund grace period is seven (7) days from the payment date.
The amount is non-refundable if the messages are used within the grace period.
Bank transfer fees of 9 SAR for internal transfers and 50 SAR for Gulf countries’ transfers, or any other fees like payment gateway charges, will be deducted.
Refunds for Domain and Sender Name
The refund grace period is seven (7) days from the payment date.
The amount is non-refundable if the domain or sender name is purchased or used within the grace period.
Bank transfer fees of 9 SAR for internal transfers and 50 SAR for Gulf countries’ transfers, or any other fees like payment gateway charges, will be deducted.
Zid’s Responsibility Towards the Consumer and Merchant
Zid is not responsible in any way for unsatisfactory or delayed performance by Merchants, shipping companies, electronic payment gateways, or banks. Zid also bears no responsibility for any losses, malfunctions, or delays due to unavailable goods, delayed deliveries, or the poor quality of services provided by Merchants.
Zid does not assume liability for any claims arising from errors or negligence, whether directly, indirectly, incidentally, or through third parties.
Products and Services
We have made every effort to provide an accurate description of our products and Services. However, we cannot guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and Services.
We do not guarantee that the quality of our Services, or any products, services, information, or other materials you have purchased or obtained, will meet your expectations, nor do we guarantee that any errors in the Service will be corrected.
We reserve the right to modify or discontinue the Service (or any part of it) without notice at any time. We will not be liable to you or any third party for any modifications, price changes, suspension, or discontinuation of the Service.
Some of our Services are subject to terms and conditions separate from these Terms, which do not conflict with them. When using these Services, you must review and adhere to their terms, which are considered an integral part of these Terms and Conditions, complementing and interpreting them. These terms explain how the Service is activated and operates, including the relationship between the Merchant and the partner. This does not imply that Zid is a party to the obligations between the Merchant and the partner, and these provisions do not substitute or interpret the contracts entered into between the Merchant and the partner, nor do they govern them.
Third-Party Logistics Companies on Zid Apps Market(ZAM)
Merchants located in Saudi Arabia or any of the Gulf countries can enable shipping through licensed logistics companies directly from the Zid platform/app for the delivery of goods purchased from their Zid store. In addition to these terms of use, the use of Zid’s logistics services is subject to the terms and conditions of each logistics company, as outlined on their respective websites/apps when enabling the delivery service.
The Merchant and third-party logistics companies may enter into agreements and legal documents that govern the relationship between them. The Merchant acknowledges and understands that Zid is not a party to these obligations nor responsible for any outcomes arising from them.
The Merchant agrees and understands that Zid will not be liable for any direct, indirect, incidental, special, consequential, or severe damages, including but not limited to damages resulting from loss of profit, reputation, use, data, or other intangible losses arising from the use or inability to use the service or due to the third-party logistics companies’ failure to provide the service effectively.
ZidShip
Definitions
ZidShip: A shipping and delivery solution offering multiple delivery options with a single electronic contract through more than 20 shipping companies. The service is provided for a specified fee, which is collected either in the Merchant’s wallet or through invoicing.
ZidShip Service Levels:
ZidShip Express: Delivery within 1-2 business days.
ZidShip Standard: Delivery within 2-5 days.
Branch Delivery Policies: Delivering shipments to the nearest branch.
Reverse Services: Returning shipments from the recipient to the Merchant (pickup point).
Order Statuses in ZidShip
New: (A new order in the Merchant’s order page, not yet marked as ready).
Processing: (The order status has been changed to processing by the Merchant).
Ready: (The order status has been updated to ready by the Merchant, and a shipping label is created at this stage).
Out for Delivery: (The order is out for delivery with the shipping company, according to the shipping company’s updates).
Delivered: (The order has been delivered to the customer, as per the shipping company’s updates).
Canceled: (The order has been canceled by the Merchant).
Returned: (The order was not received by the customer after three delivery attempts, as per the shipping company’s updates).
Implementing
Service Levels:
Express: A ZidShip representative picks up the shipment within Riyadh and delivers it to the shipping company indicated on the shipping label.
Standard: The shipment is picked up by the ZidShip representative and handed over to the shipping company indicated on the shipping label.
Branch Delivery: Once the order is marked as ready, and the shipping label is printed and attached to the shipment, it is delivered to the nearest branch according to the active shipping company chosen by the Merchant.
Issuing the Shipping Label
The shipping label is issued when the Merchant changes the order status to ready. At this point, the delivery fee is deducted from the Merchant’s wallet.
The Merchant can cancel the shipping label before it is handed over to the shipping company by contacting ZidShip through direct communication, and the shipment fee will be refunded to the Merchant’s wallet.
The Merchant cannot modify the shipping label after the order has been marked as ready.
Invoices and Financial Reports
Financial reports and wallet transaction invoices are sent to the Merchant weekly.
ZidShip transfers the total amount of cash-on-delivery transactions twice a month to the Merchant’s wallet.
Types of Subscriptions in ZidShip
Basic Subscription: The Merchant makes an advance payment recorded in the Merchant’s wallet. To benefit from ZidShip services, the Merchant must have a sufficient balance in the wallet corresponding to the service they wish to use.
Prepaid Package Subscription: ZidShip offers this type of subscription, which allows the Merchant to pre-purchase a set of shipping labels based on the selected package details, such as the price per label, maximum weight allowed, and package expiration date, among others.
Quoted Price Subscription: This subscription is offered to certain categories with different pricing. The subscription must be used within a specific period and for a set number of shipments as indicated in the quoted price. The service is provided with the same features as other subscriptions, and the balance is credited to the Merchant’s wallet.
Settlements
Settlements may occur by deducting the due amounts from cash-on-delivery transactions when deposited directly into the wallet, where the amount is added and then the due amount is deducted immediately.
Alternatively, the Merchant may top up their wallet, where the amount is added, and the due amount is deducted immediately.
ZidShip Activation via Zid Wallet
By topping up the Zid Wallet, without conflicting with the terms mentioned under the types of subscriptions in ZidShip, the Merchant can benefit from ZidShip services.
All prices mentioned upon activating ZidShip or those stated in the quoted price provided to the Merchant do not include VAT or any government fees.
The validity of the special quoted price offered to the Merchant is contingent on fulfilling two conditions: meeting a minimum number of shipments with ZidShip within a specified period, and the offer is invalid if either of these conditions is not met. If either condition is breached, the quoted price will be void, and ZidShip will charge the standard rate without the offer.
Deduction Terms from Zid Wallet:
After changing the order status to “Ready,” the following will be deducted directly from the wallet: (shipping fees + cash-on-delivery fees + overweight fees based on the Merchant’s inputs).
If the shipment weight differs from the weight entered by the Merchant, which affects the shipping fees, the overweight fees will be charged according to the weight provided by the shipping company, and the difference will be deducted from the Merchant’s wallet.
The cash-on-delivery fees will be refunded to the wallet if the consumer does not receive the shipment and the order status is changed to “Returned.”
Shipping fees will not be refunded if the consumer does not receive the shipment and the order status is changed to “Returned.”
Zid Wallet Deactivation:
Wallet deactivation will only be effective after settling all outstanding obligations to and from the Merchant.
If ZidShip is owed more than the amounts deducted, either due to overweight, incorrect shipping costs caused by technical issues, or any other dues mentioned in these terms and conditions, or any quoted prices or supplementary agreements, the amount will be deducted directly from the Merchant’s wallet without prior notice and will be included in the weekly wallet deduction invoices and reports.
If ZidShip is entitled to deduct additional amounts from the wallet and the wallet balance is zero or insufficient to cover the amount due, the remaining amount will be deducted, and the wallet balance will be negative.
If the Merchant has cash-on-delivery amounts due, the negative wallet balance will be deducted from the Merchant’s cash-on-delivery amounts owed by ZidShip.
If the Merchant does not have cash-on-delivery amounts due from ZidShip, an invoice will be issued to the Merchant and sent to the registered email for financial reports. The amount must be paid by topping up the wallet with the required amount within a maximum period of 10 working days from the invoice date. This period excludes the one specified under the types of subscriptions in ZidShip.
General Terms and Conditions
The maximum weight limit is the maximum weight allowed at the specified rates, and any additional kilogram will be charged according to the rates provided upon service activation.
ZidShip will calculate the excess weight when the shipment reaches the ZidShip warehouse or the last-mile shipping company’s warehouse. Based on this, the weight and shipment cost will be updated.
The volumetric weight is calculated by multiplying the dimensions of the shipment (length x width x height) and dividing the result by 4000 (4000/ length * width * height).
The chargeable weight will be either the volumetric weight or the gross weight, whichever is higher.
Prices for covered areas, additional weight, or services provided in this contract are exclusively requested by the Merchant/store, based on their agreement with their assigned Zid account manager.
If there are any comments (disputes) regarding the invoice issued to the Merchant, he shall have the right to dispute it within (5) days from the invoice issuance date.
The Merchant loses the right to dispute after the specified period mentioned in the above clause, and the invoice will be considered due for payment.
General Operating Procedures
The delivery duration for ZidShip starts from the time the shipment is received from the Merchant, and it depends on the consumer’s response, including the accuracy of the address and communication through messages or calls between the consumer and the shipping company.
Reverse shipments are considered new shipments, and all standard charges for new shipments apply.
Compensation
Zid does not compensate for delays caused by the Merchant, the shipping company, or the consumer, nor does it bear responsibility for any damage or loss resulting from these parties.
Compensation requests must be submitted within a maximum of 24 hours from when the consumer receives a damaged shipment or within 10 days from the date the shipping company received the shipment if the shipment is lost.
For damaged shipments, the Merchant must provide ZidShip with proof of damage, such as a picture or video of the damaged shipment.
The compensation amount is equivalent to the value of the invoice generated at the time of the delivery order, along with the shipping charges.
Compensation requests are submitted through the store’s control panel by filing a support ticket under “Orders and Reports” in the ZidShip operating system and selecting “Lost Shipment Inquiry” or “Report Damaged Shipments Due to Shipping Company.”
Compensation requests are processed within 7 business days of submission.
The compensation decision will be based on pre-defined standards, such as the method of packaging and adherence to packaging guidelines appropriate for the nature of the product.
If the compensation request is approved, the compensation will be processed within 30 business days from the approval date.
Compensation will be credited to the Merchant’s wallet.
Exclusions from Compensation:
Compensation will not be provided if the shipment contains:
Hazardous or flammable materials.
Valuable items such as gold, silver, or cash.
Liquids.
Food items.
Medical products that require refrigeration but are not shipped with ZidShip’s refrigerated service.
Beauty products.
Inadequate packaging that does not protect the product or shipment.
Note: Highly sensitive products require strong and appropriate packaging as these items are transported by special means, not by regular shipping companies. No compensation will be provided if the Merchant uses an inappropriate shipping level for their products.
In case of a lost shipment, the Merchant must file a compensation request within 10 business days of the shipment’s failure to arrive by contacting customer service via direct messaging. The ZidShip team will then investigate the shipment with the shipping company and provide proof of its existence or confirm its loss within 7 business days after the compensation request is completed. If the shipment is found, it will be returned to the Merchant along with compensation for the deducted shipping cost only. In case the shipment is confirmed lost, full compensation will be provided up to a maximum of 5,000 SAR.
Any agreed-upon compensation amount will be credited to the Merchant’s wallet and cannot be transferred to the Merchant’s bank account.
The compensation amount will be added to the Merchant’s wallet within 30 days of confirming the compensation amount and at the beginning of each calendar month.
Zid App Market
Definitions:
Zid App Market Partner: This refers to the technical developer who owns an application within the Zid App Market And provides software services and solutions to assist Merchants in managing their online stores.
Applications: This refers to the software services provided by the partner in the Zid App Market.
Zid App Market: This is a platform owned by Zid that offers technical integration solutions between the Merchant and the partner, enabling the Merchant to connect their store with one of the applications available in the Zid App Market to facilitate the management of their store operations with ease.
Implementing and Liability Limits
The Merchant understands and agrees that the partner is the service provider, and their relationship with the partner is independent of their relationship with Zid. Zid merely provides the technical integration solutions for utilizing the Zid App Market, as outlined in the definitions section.
The Merchant understands and agrees that they are responsible for sharing store data with the partner after installing the service application and granting the necessary permissions according to the nature of the provided service.
Any financial claims or compensations between the Merchant and the partner resulting from activating the service are limited to the Merchant and the partner, and Zid will not be involved in any manner.
The Merchant understands and agrees that the specialized applications provided by partners through the app Market for the concerned store are entirely managed and controlled by the respective partner. Zid does not influence the pricing, terms, or services provided within these specialized applications, and any disputes, refund requests, or issues related to the services must be dealt with directly with the partner. Zid holds no responsibility for any obligations or disputes arising from these agreements.
Zid is not responsible for any modifications or changes in prices, service suspension, or discontinuation.
Zid does not assume any responsibility for technical issues occurring in the applications or services developed or provided by the app Market partners.
Zid is not responsible for any payments made to the partner, including but not limited to service fees or any other charges, and will not offer support in case of issues arising from them.
The Merchant and the partner may enter into legal agreements and documents governing their relationship, and the Merchant acknowledges and understands that Zid is not a party to these commitments or the resulting outcomes.
The Merchant acknowledges and understands that if Zid collects service activation fees from the Merchant, this collection will be in accordance with the agreements and documents made with the partner. Zid will not be responsible for any claims, incomplete refunds, or service fee changes, as Zid is only a technical tool used by the Merchant and the partner.
In compliance with clause (9), the Merchant has the right to request a refund of the service fees collected by Zid, as detailed in the Zid App Market refund terms.
The Merchant acknowledges and understands that Zid is not responsible for any offers provided by the partner on their services, their pricing, or changes in those prices, and the full responsibility lies solely with the partner, without Zid being involved in any way.
Zid App MarketRefund Terms
The Merchant is eligible for a refund under the following conditions:
Submitting a Refund Request:
The Merchant must submit the refund request by contacting the customer service team through designated channels.
Refund Processing:
If the Merchant is deemed eligible for a refund, the refund will be processed either on the 7th or 27th of each month, whichever is sooner.
Annual Subscriptions:
The refund request period is 5 days from the subscription date, provided no annual offers are involved.
If an annual offer is included, the refund period is reduced to 24 hours from the time of the refund request. The Merchant is entitled to a refund within these specified periods.
Monthly Subscriptions or Subscriptions Less than 12 Months:
The refund request period is 3 days from the subscription date. The Merchant is entitled to a refund within the mentioned grace period.
One-Time Activation Fees:
Any additional fees included in the application packages for one-time activation are non-refundable. These fees are considered an initial cost for accessing the service provided by the partner.
Zid Themes Market
Definitions
Theme MarketPartner: A service provider who owns and develops themes in Zid’s Theme Market and makes them available to Merchants.
Themes: A collection of templates and graphical elements organized on a document or page, provided by the partner or Zid within the Zid Theme Market, allowing Merchants to design their online store by activating them through the store’s control panel.
Merchant: The beneficiary of this service who owns a store on the Zid platform and has linked their store with one of the themes available in the Zid Theme Market.
Theme Market: A platform owned by Zid that offers various free or paid themes, enabling Merchants to design their stores.
Implementing and Liability Limits
When purchasing or activating a theme developed by Zid, the Merchant acknowledges and agrees to the terms and conditions of the Zid Themes Market as well as the general terms and conditions of the Zid platform.
Merchants may customize the design of Zid themes to fit their store. Zid reserves the right to add or modify the footer that reflects its identity at its discretion. Zid also reserves the right to determine and modify any theme containing elements that may be illegal, offensive, threatening, defamatory, pornographic, obscene, undesirable, or infringing upon any intellectual property rights, even after the Merchant receives the theme. Zid may modify themes to include new designs, technical changes, and updates as needed.
Merchants are not allowed to transfer or sell any theme purchased or used from Zid’s platform to another store or person on Zid or elsewhere. Zid retains its legal right to address any violations of this policy, and theme files are the intellectual property of the Theme Marketpartner.
Zid owns the intellectual property rights to its themes. If a Merchant exceeds the rights granted through the purchase of a theme, Zid may take legal and administrative actions, such as modifying or closing the store.
If a Merchant purchases or activates a theme from a Theme Marketpartner, they acknowledge that the partner is the service provider, and their relationship with the partner is independent of their relationship with Zid.
Zid is not responsible for any technical issues in themes developed by Theme Market partners.
Merchants understand that if Zid collects service activation fees, this collection will be as agreed between the Merchant and the partner in their agreements and documents. Zid will not be responsible for any claims, compensations, or changes in service fees, as Zid serves only as a technical tool used by both the Merchant and the partner.
Merchants may request a refund of service fees collected by Zid according to the refund terms outlined in the Zid Themes MarketRefund Policy.
Merchants understand that Zid will not be responsible for any offers, pricing, or pricing changes made by the partner for their services. The partner alone bears full responsibility for these aspects, with Zid having no involvement.
If a Merchant chooses to design and create a custom theme, they are subject to the legal agreements and documents governing their relationship with the partner they choose to work with. The Merchant bears full responsibility for maintaining and supporting the theme, and Zid holds no responsibility in this regard.
Upon the expiration of a Merchant’s subscription to custom theme services, their store will revert to one of the free themes offered by Zid.
Zid will not be liable to the Merchant or any third party for any modifications, price changes, suspension, or discontinuation of the service.
It is the Merchant’s responsibility to ensure that the use of themes does not replace or damage the content of their store.
The Merchant’s use of the service constitutes agreement to these terms and conditions and the granting of the necessary permissions for their implementation.
Zid reserves the right to review and update theme service prices at any time and for any reason, after notifying the Merchant.
Zid Themes Market Refund Policy
Paid Themes:
Refund Period: The refund period is 3 days from the payment date.
Non-Refundable: The amount is non-refundable if the theme has been applied during the refund period.
Bank Transfer Fees: A bank transfer fee will be deducted (9 SAR including VAT for domestic transfers and 50 SAR for Gulf transfers), or any other applicable fees such as payment gateway fees.
Zid POS (Cashier)
Definitions
Zid POS (Cashier): A service provided by Zid that allows the Merchant to integrate data from their physical stores with the data from their online store into a single platform. It helps manage, organize, and analyze the operations and sales of both physical stores and online stores through a technical sales system or POS devices provided by Zid, depending on the Merchant’s choice.
Merchant: The beneficiary of this service, who owns a store on the Zid platform.
POS Devices: Devices that allow the Merchant to supervise and monitor all operations of their store in one mobile platform, including sales, inventory, real-time transaction settlement, and the acceptance of all payment methods.
POS System: A comprehensive system that enables the Merchant to manage the operations of both their physical stores and online stores within one unified platform.
Implementing and Liability Limits
Billing: Zid issues an invoice for the amounts due by the Merchant based on the type of service selected by the Merchant.
POS Device Delivery: Unless otherwise agreed, Zid delivers the POS devices requested by the Merchant through one of the following methods:
Via representatives of Zid.
Through authorized sales agents of Zid.
Via shipping agents contracted by Zid.
Installation Responsibility: The Merchant acknowledges and agrees that Zid is not responsible for the installation of the POS devices.
Installation Costs: The Merchant is responsible for all expenses and costs associated with the installation and maintenance of the POS devices, as well as providing any necessary equipment.
Usage Restrictions: The Merchant is not allowed to sell, resell, transfer, or use Zid’s POS devices for any purposes other than those stipulated in these terms and conditions. The use of the devices is limited to the Merchant’s direct business operations as outlined in these terms.
Exclusive Authorization: The Merchant understands and agrees that they are the only authorized user of the devices, systems, and tools related to the service provided by Zid or authorized by Zid.
No Guarantees: Zid does not guarantee or assume responsibility for the services or goods provided by the Merchant .
Merchant’s Responsibilities: The Merchant guarantees the precise, skillful, and careful use of the POS devices and agrees to use them only for their intended purpose.
No Liability for Damages: Zid is not liable for any damages, losses, claims, demands, costs, or expenses that the Merchant may face due to the use of the services and systems related to the provided service, nor for any actions taken or not taken based on materials or information provided by the Merchant.
Terms for National Day or Promotional Offers:
The offer does not include the setup or installation of devices, nor the preparation of the online store.
The agent is responsible for ensuring the functionality of the devices.
The National Day and special offers apply only within Saudi Arabia.
This offer cannot be combined with any other promotional offers or discounts provided by Zid.
The devices offered for sale on the website are subject to availability, and if for any reason Zid is unable to provide the device after placing the order, Zid will notify the Merchant as soon as possible and cancel the order in its entirety.
Zid reserves the right to terminate or modify this offer at any time and for any reason without prior notice.
Agreement to Terms: The Merchant’s use of the service constitutes acceptance of these terms and conditions and grants the necessary permissions for their implementation.
Refund Policy for Zid POS / Cashier
Service Refund: The Merchant is entitled to request a refund for the service fee within ten (10) days from the date of the subscription invoice issuance, provided that the number of approved invoices through the service does not exceed twenty (20) invoices.
National Day or Promotional Offers Refund: The Merchant is entitled to request a refund for the activated service during the National Day or promotional offers within twenty-four (24) hours from the date of purchase.
POS Device Replacement: The Merchant is entitled to request the replacement of POS devices within two (2) days if the devices are found to be defective. If the devices are found to be defective after more than two (2) days from receipt, the authorized agent will be responsible for the maintenance and replacement of these devices.
Zid Wallet
Definitions
Zid Electronic Wallet: This is a wallet that allows the Merchant to store and manage funds related to their store on the Zid platform. The Merchant can add balance to the wallet and use it for purchasing products or services offered on the Zid platform or transfer the balance to their bank account at any time. The wallet also helps manage funds for cash-on-delivery payments, following the procedures outlined in these terms and conditions.
Merchant: The beneficiary of this service, who owns a store on the Zid platform.
Adding and Transferring Funds to and from the Zid Wallet:
To add or transfer your balance from the Zid Wallet to your bank account, the Merchant must verify their account according to the following:
For Business Entities:
Enter the owner’s ID number and the commercial registration number.
Attach a copy of the company’s commercial registration.
Attach a copy of the owner’s ID.
Enter the company’s bank account details.
Provide a phone number.
Provide an email address.
For Individual Merchants:
Enter the store owner’s ID number.
Attach a copy of the store owner’s ID.
Provide a phone number.
Provide an email address.
Enter the bank account details of the store owner.
For Merchants with ZidPay Activation:
ZidPay documentation that verifies the Merchant’s “Know Your Customer” (KYC) status will be automatically recognized as the valid information for Zid Wallet. These details will be directly reflected on the Zid Wallet control panel.
Implementing and Liability Limits for Zid Wallet
Methods for Loading\topping up the Wallet:

Apple Pay
Credit Card
Zid imposes a transfer fee of SAR 9 (inclusive of VAT) for transfers within Saudi Arabia. Zid imposes a transfer fee of SAR 50 for international transfers.
Zid reserves the right to reject transfers into the wallet for reasons including but not limited to discrepancies between the account owner’s name and the store owner’s name, or other reasons at Zid’s sole discretion.
The Merchant acknowledges and understands that Zid has the right to deduct transfer fees from the transferred amount if the transfer is returned to its source.
The Merchant can request a withdrawal from the Zid Wallet to their bank account, provided the amount does not exceed SAR 20,000.
The maximum amount a Merchant can load into the Zid Wallet using credit cards or Apple Pay is SAR 5,000.
Funds are transferred from the wallet to the Merchant’s bank account within 2 to 5 business days.
Adding funds to the wallet takes 5 to 6 business days to process.
The Merchant acknowledges and agrees that they are not allowed to use the IBAN number associated with their Zid Wallet for purposes such as receiving external transfers not related to Zid services, or for any purpose other than what is intended.
Zid has the right to deduct directly from the Merchant’s wallet balance to cover any fees or costs related to services, such as shipping fees, additional weight charges, etc.
If the Merchant’s wallet balance is insufficient to cover any due payments, the balance will become negative, and the amount owed will be deducted from the balance.
If the Merchant’s wallet remains in negative balance for services rendered, Zid has the right to pursue the owed amount through relevant authorities after providing the Merchant with a minimum of 30 days’ notice.
By using the Zid Wallet service, the Merchant agrees to these terms and conditions and grants the necessary permissions to execute them.
Value Added Services (VAS)
Implementing and Liability Limits
Eligibility: To benefit from the VAS, the Merchant must have an active store on the Zid platform.
Price Updates: Zid reserves the right to review and update the prices for VAS at any time for any reason, after notifying the Merchant .
Service Provision: Zid has the right to provide the service directly or through its partners.
Liability: The Merchant agrees and understands that Zid will not be held liable for any direct, indirect, incidental, special, consequential, or significant damages, including but not limited to loss of profit, reputation, usage, data, or other intangible losses arising from the use or inability to use the service.
VAS Refund Terms:
The Merchant is entitled to a refund of the service fee based on the following details:
Annual and Lifetime Subscriptions:
Refund requests must be made within 3 business days from the subscription date.
Monthly Subscriptions:
Refund requests must be made within 3 business days from the subscription date.
Promotional Period Subscriptions:
Refund requests must be made within 24 hours from the subscription date.
Refund Process:
The Merchant must be eligible for a refund based on the above refund terms.
The Merchant must submit a refund request through the control panel by following these steps:
Go to the Control Panel > Open a New Ticket > Select Ticket Category “Store Requests” > Choose Subcategory “Request Refund for New/Existing Package” > Describe the request and attach a copy of the IBAN certificate.
If the refund request is approved, the subscription fee will be refunded on the 7th or 27th of each month, whichever is sooner.
Mazeed
Mazeed is an e-commerce platform/application that allows Zid Merchants to display and sell their products, while also enabling customers to shop from a variety of listed products.
Implementing and Liability Limits
Service Activation Requirements:
The Merchant must have an active store on Zid’s platform and be subscribed to one of the plans.
Proof of authorization for individuals registering or using the platform on behalf of the Merchant must be provided.
A valid identification document for the authorized individual must be submitted.
A copy of the Merchant’s bank account details must be provided.
The information provided by the Merchant for service activation must be accurate.
The Merchant’s business activities must be legal and compliant with the regulations of the Kingdom of Saudi Arabia.
If the provided information is inaccurate, the Merchant will be given a 14-day grace period to correct the data. Failure to make the necessary corrections will result in account suspension.
The Merchant is solely responsible for ensuring that the products listed on Mazeed match those in their store and for delivering the products to the final customer.
Merchant Responsibility:
The Merchant is responsible for communicating with customers and responding to them within 24 hours from the order date.
The Merchant is responsible for shipping and delivering the order to the consumer.
The Merchant must respond to inquiries from the Mazeed team within 24 hours.
The Merchant is committed to the product price displayed at the time of the sale.
The Merchant must notify Zid of any price changes.
The Merchant is solely responsible for the nature of the buyers or customers they deal with and agrees to deal only with legitimate customers.
The Merchant is responsible for continuously updating data and information on the Mazeed application or website, such as removing expired offers or unavailable products.
The Merchant is responsible for ensuring the products are free from any manufacturing defects and in good condition.
The Merchant is responsible for the legality of the goods listed on Mazeed and ensuring they comply with the laws and regulations of the Kingdom of Saudi Arabia.
Zid’s Responsibility:
Product Classification: Zid reserves the right to classify the Merchant’s products upon their registration in Mazeed, according to the product sector Zid deems appropriate.
Modification Rights: Zid has the right to reclassify, modify, or remove the products listed on Mazeed at any time.
Account Suspension or Closure: Zid may suspend or close the Merchant’s Mazeed account after notification in the following cases:
If the store receives five complaints.
If the store’s rating on Mazeed is below 2.5.
If the Merchant violates Zid’s terms and conditions or general policies.
Customer Data Access: Zid has the right to access the Merchant’s customer data, such as purchase transactions, for the purpose of evaluating and improving the consumer shopping experience on Mazeed.
Advertising Messages: Zid has the right to send promotional messages to Mazeed users.
Funds Retention: Zid has the right to withhold some or all funds if there are suspected fraudulent or illegal activities, including but not limited to fraud and embezzlement. Zid may request supporting documents to verify the legitimacy of these transactions. If the Merchant fails to provide sufficient evidence, Zid has the right to take necessary actions, which may include refunding the amounts, canceling the account, or notifying relevant authorities without the Merchant’s consent.
Order Management: Zid is responsible for managing the orders sent to the Merchant through the Mazeed platform.
Technical Support: Zid provides the necessary technical and logistical support to ensure that buyers’ orders are delivered correctly.
Compensation
Zid has the right to claim compensation from the Merchant for damages incurred, including but not limited to: manufacturing defects in products, shortages in quantity, non-delivery of shipments, intentional negligence, or any shortcomings in services provided to the end customer.
Financial Terms
Transaction Summary and Invoicing: The Merchant is required to summarize purchase transactions and issue an invoice with the due amounts on the 15th and 30th of each Gregorian month.
Commission Deductions: Zid will deduct a commission from the Merchant based on the classification of the product sector on the Mazeed platform.
Payment Transfers: Zid will transfer the due amounts to the Merchant’s bank account on the 30th of each month, provided that at least 7 days have passed since the purchase date, and the amount is not less than 500 SAR.
Rescheduling of Payments: If the due amount does not reach the minimum threshold of 500 SAR within three months from the invoice issuance date, the payment schedule will be adjusted, and the transfer will occur on the 30th of the fourth month.
Authentication of Signatures and Electronic Notifications
Registering an account on Mazeed is considered your electronic signature. Communicating with us through the support option via email ([email protected]) is considered an official notice from you and is equivalent to your personal signature.
You agree that the email used to register the Mazeed account is your authorized email address and that all electronic communications received from this address are equivalent to signed official documents from you or your legal representative.
You agree to receive all notifications from Mazeed via the email and phone number you registered during the activation of Mazeed for the purpose of communication and verification.
Modification of Terms and Conditions and Termination
Zid reserves the right to modify these terms and conditions at any time by posting the revised version on our website or application. Merchants and consumers are responsible for reviewing the updated terms through the app, while Zid will notify them accordingly.
Account Deactivation on Mazeed
If a Merchant wishes to cancel their Mazeed account, Zid has the right to withhold funds to settle any pending transactions, including but not limited to returns, exchanges, pending fees, etc. Once these are settled, the withheld funds will be transferred to the Merchant’s bank account based on their payment schedule.
Merchants can cancel their Mazeed account by navigating to the control panel > Zid Products and Services > Select Mazeed > Manage Store on Mazeed > Unlink Account.
ZidPay
ZidPay is a service that allows Merchants with a store on the Zid platform to process e-commerce sales transactions through payment service providers on a platform managed by Zid.
ZidPay is subject to separate terms and conditions, which the Merchant must agree to and comply with upon activating the service.
Merchants acknowledge and agree that Zid is not liable for any direct, indirect, incidental, special, consequential, or severe damages, including but not limited to damages resulting from loss of profit, reputation, usage, data, or other intangible losses caused by the use or inability to use the service or any failure by the payment service providers to deliver the service effectively.
By using Zidpay Services, you confirm your agreement, with full legal capacity, to be bound by these Terms in addition to the general terms and conditions of Zid platform and our Privacy Policy, which is incorporated into and made a part of these Terms, which you can view at any time here, and our other applicable policies.
Zid Financing
Definitions
Zid Financing: An electronic service provided by Zid, enabling the Merchant to benefit from financing offers from the financing entity, and allowing the financing entity to receive repayment installments by deducting from the Merchant’s sales transactions executed on the Zid payment platform (“Zid Pay”) during the subscription period of this service.
Merchant: The entity that owns a store on the Zid platform, activates a subscription to the Zid financing solutions service, and is eligible for subscription according to these terms and conditions.
Financing Entity: The party that provides the financing service to the Merchant.
Relationship of Terms and Conditions:
These Terms and Conditions are considered a complementary part of the obligations of the Merchant in relation to the Terms, Conditions, and Policies of the Zid Platform and do not conflict with them. In the event of a conflict, these Terms and Conditions shall be harmonized with the platform’s provisions as required for service provision. If harmonization is not possible, these Terms and Conditions will be considered interpretative, supplementary, and additive to the Terms, Conditions, and Policies of the Zid Platform.
These Terms and Conditions will include interpretative clauses on how the service operates, including an explanation of the relationship between the Merchant and the Funding Entity. This does not imply that Zid is a party to the obligations between the Merchant and the Funding Entity, nor do these clauses substitute, interpret, or govern the agreements made directly between the Merchant and the Funding Entity.
Implementing and Liability Limits
To be eligible to subscribe to the service, the Merchant must:
Be a commercial entity registered in the Kingdom of Saudi Arabia (individuals and non-commercial entities, such as charitable organizations, are not eligible).
Provide all necessary requirements as requested by the Zid team, ensuring that the submitted data and information are accurate, up-to-date, and correct. If the Merchant fails to provide accurate or up-to-date information, Zid reserves the right to handle the situation in the way it sees fit.
The financing entity, Zid, or both may request additional requirements from the Merchant as deemed necessary, and the Merchant must fulfill these additional requirements.
The Merchant must undergo an evaluation process conducted by Zid and the financing entity. Zid reserves the absolute right to assess the eligibility of the Merchant and to determine whether to provide the service.
Limitation of Liability:
The Merchant understands and agrees that the financing entity is the provider of the financing service and that the relationship with the financing entity is independent of the relationship with Zid. Zid is merely the provider of the electronic financing solutions as defined in these terms and conditions.
According to paragraph (1), the acceptance or rejection of the financing service and the determination of the financing offer are subject to the discretion of the financing entity and independent of Zid.
Any financial or moral claims, whether due or compensatory, between the Merchant and the financing entity resulting from the subscription to the service will be solely between the Merchant and the financing entity, with Zid having no involvement.
The Merchant and the financing entity will enter into contracts, agreements, and legal documents that regulate their relationship. Zid is not a party to any of these obligations or the resulting actions.
Zid Pay will deduct from the value of each sale transaction executed on the Merchant’s store to meet the repayment obligations to the financing entity. This deduction will be in accordance with the agreements made with the financing entity through the contracts and documents between them. Zid will not be responsible for any claims for repayment, refunds, rescheduling of payments, or changes in deduction rates, as Zid Pay and the service are merely technical tools used by both the Merchant and the financing entity.
If Zid Pay is unable to deduct the repayment obligations or the minimum monthly amount as agreed between the Merchant and the financing entity for any reason (whether voluntary or involuntary, due to the Merchant or Zid), the Merchant understands that this does not exempt them from their repayment obligations to the financing entity. The Merchant must fulfill their obligations via bank transfer or another method agreed upon with the financing entity.
If the Merchant fails, defaults, or refuses to meet their repayment obligations, or if their store is deleted or their subscription to Zid or Zid Pay is canceled, the Merchant must deal directly with the financing entity to address the consequences, based on their agreement with the financing entity, without any intervention or involvement from Zid.
Zid provides the Merchant with access to repayment tracking through an electronic dashboard to help the Merchant monitor the status of their financing and repayments. While Zid makes every effort to provide accurate and synchronized data with the financing entity, if there is any discrepancy, the data provided by the financing entity shall take precedence over the information in the dashboard.
Additional General Terms and Conditions
After the Merchant subscribes to the service, they will not be able to cancel their Zid Pay subscription or switch to another payment channel until they have completed all their repayment obligations.
The Merchant will not be able to cancel or modify any of the methods through which they receive the service after the financing service is provided by the financing entity or after they sign the commitment with the financing entity.
To provide the service, Zid will share all information related to the Merchant’s sales with the financing entity.
In case of disputes, and upon the request of official authorities, Zid will provide the necessary information and data to the authorities as requested.
The Merchant’s use of the service constitutes acceptance of these terms and conditions and grants the necessary permissions for their implementation.
General Provisions
The Merchant shall not use the service for any illegal or unauthorized purpose, nor may they use the service in any way that violates any law or regulation, especially copyright and intellectual property laws. Zid reserves the right to terminate any account that violates these provisions.
The Merchant agrees not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the service, or use or access it without obtaining express written permission from Zid.
The Merchant is not permitted to purchase search engines or other paid click keywords (such as Google AdWords) or identifiers that utilize Zid’s trademarks or variations, including misspellings, with the intent of manipulating search results.
The terms of use are available in both Arabic and English. In the event of any conflict or discrepancy between the English version and the Arabic version of the terms of use, the Arabic version shall prevail and be the official reference.
Governing Law and Dispute Resolution
These terms and conditions are governed by the laws and regulations of the Kingdom of Saudi Arabia. In the event of any dispute arising between the Merchant and Zid, or in connection with these terms (including disputes related to non-contractual obligations arising from or in connection with them), the parties must attempt to resolve the matter amicably through negotiation. If the dispute is not resolved within thirty (30) days of either party sending a written notice to the other, the dispute shall be referred to the competent courts for resolution.
Failure by Zid to enforce any right or provision of these terms does not constitute a waiver of those rights. If any court finds any provision of these terms to be invalid or unenforceable, the remaining provisions will continue to be in effect. These terms constitute the entire agreement between the parties regarding the service and supersede any prior agreements concerning the service.
Complaints Handling
In case of a complaint against any store or service provider, please submit the complaint via the designated link on the Zid platform or contact the support team for necessary action.
Amendments
We may revise these terms from time to time. Changes will not be retroactive, and the latest version of the terms will always govern the relationship between you and us, which will be available on the website. Except for changes made for new functionalities or for legal reasons, we will notify you at least seven (7) days before any changes take effect that may impact the rights or obligations of either party, through notices on the service or via email. By continuing to visit or use the services after the revisions become effective, you agree to be bound by the modified terms.
